Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you and ZIA Inc. ("ZIA," "we," "us," or "our"), concerning your access to and use of our website, platform, hardware products, and associated services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and accepted these Terms. If you do not agree, you are not permitted to access the Services.

Intellectual Property

The Services and their entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement — are owned by ZIA, its licensors, or other providers of such material and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any ZIA material without prior written consent.

Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. Prohibited activities include:

• Circumventing, disabling, or otherwise interfering with security-related features of the platform.
• Engaging in unauthorized framing of or linking to the Services.
• Uploading or transmitting viruses or any other malicious code.
• Using the Services in a manner inconsistent with any applicable laws or regulations.
• Attempting to reverse engineer, disassemble, or decompile any ZIA hardware or software.
• Using the Services to send unsolicited communications of any kind.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ZIA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in San Francisco County, California.

Changes to Terms

We reserve the right to update or modify these Terms at any time. We will indicate the date these Terms were last revised at the top of this page. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes.
